By accessing or using the Flowraite platform (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. The Service
Flowraite is a SaaS platform that provides AI-assisted content creation, including "Deep Research" capabilities, content scheduling, and API integrations (such as SofaScore data). The specific features available to you depend on the subscription plan you have selected.
2. Accounts and Credits
- Registration: To use the Service, you must create an account. You are responsible for maintaining the security of your login credentials.
- Credit System: Access to the Service is managed via a credit-based system. Credits are consumed upon the execution of specific tasks (e.g., content generation, API queries, or research). Unused credits may expire at the end of the billing cycle as defined in your specific subscription plan.
3. Subscription and Payments
- Billing: Subscriptions are billed in advance on a monthly or annual basis.
- Automatic Renewal: Unless canceled, your subscription will automatically renew at the end of the current term.
- Upgrades: If you upgrade your plan, the change will take effect immediately, and you will be charged on a pro-rata basis.
4. AI Usage and Accuracy Disclaimer
- No Guarantee of Accuracy: Flowraite utilizes Artificial Intelligence and automated research protocols ("Deep Research"). While we strive for accuracy, the Company does not warrant that generated content is factually accurate, complete, or error-free.
- AI Hallucinations: You acknowledge that AI systems may produce "hallucinations" (factually incorrect information).
- Human-in-the-Loop: You agree that the "Deep Research" feature is an assistive tool, not a substitute for human editorial control. You are solely responsible for verifying, reviewing, and approving all content before it is published. The Company assumes no liability for damages resulting from reliance on the generated content.
5. User Compliance and Indemnification (Critical for Affiliates)
- Independent Publisher: You are an independent publisher. You are solely responsible for ensuring that content generated through Flowraite complies with all laws of the target jurisdictions, including gambling advertising regulations, consumer protection laws, and data privacy requirements (e.g., GDPR).
- No Agency Relationship: The Company is a software provider, not a party to any marketing or affiliate agreement between you and third-party operators (e.g., bookmakers).
- Indemnification: You agree to indemnify and hold the Company, its directors, and employees harmless from any claims, fines, or legal actions arising from your publication of content, specifically regarding breaches of gambling advertising laws or regulatory non-compliance.
6. Intellectual Property
- Content Ownership: Subject to your compliance with these Terms and full payment of fees, the Company grants you the rights to the content generated through the Service for your use.
- Software Ownership: The Company retains all rights, title, and interest in and to the Flowraite software, the underlying technology, templates, and the "Framework." You are granted a limited, non-exclusive, non-transferable license to use the Service.
7. Termination
- Cancellation: You may cancel your subscription at any time via your account settings.
- Suspension: We reserve the right to suspend or terminate your account if you violate these Terms, specifically regarding misuse of our APIs (e.g., scraping) or violation of the Compliance clause in Section 5.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, punitive, incidental, special, or consequential damages, or any loss of revenue or data, arising out of your use of the Service. Our total liability shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.
9. Governing Law and Jurisdiction
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of Malta, without regard to its conflict of law provisions.
- Jurisdiction: Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by the Courts of Malta (Valletta).
